3.2The binding quality of any supply is the Specification agreed in the Quotation or Order, as evidenced by the Manufacturer's batch Certificate of Analysis (COA).

3.3Information on the Website, including FAQs and the glossary, is not technical, regulatory or legal advice. The Customer is responsible for deciding whether a Product is suitable for its intended use.

Enquiries and quotations

Enquire

4.1A Quotation is valid for the period stated in it. If no period is stated, it is valid for 7 days from its date.

4.2Quotations are subject to availability of the Products at the time of order and to confirmation by the Manufacturer where relevant.

4.3Prices may be revised before an Order is confirmed if raw-material costs, exchange rates, freight, duties or taxes change significantly.

4.4We may correct obvious typographical, clerical or calculation errors in a Quotation, price list or invoice.

05

Orders

Order

5.1An order becomes binding only when we confirm it in writing (including by email) or when we dispatch the Products, whichever is earlier.

5.2The Customer must make sure its purchase order correctly states the product, grade, quantity, packing, delivery address and any documents required.

5.3A confirmed Order may be changed or cancelled only with our written agreement. The Customer will pay any costs already incurred, such as Manufacturer charges, packing or freight.

5.4Indent orders and Products made or packed to the Customer's specification generally cannot be cancelled once placed with the Manufacturer.

06

Prices, taxes and payment

Order

6.1Prices are in Indian Rupees (or the currency stated in the Quotation) and exclude GST, customs duty and other taxes unless the Quotation says otherwise. Applicable taxes are added to the invoice.

6.2Payment is due on the terms stated in the Quotation or invoice – for example advance payment, payment against documents, a letter of credit or an agreed credit period.

6.3If payment is late, we may suspend further deliveries, withdraw credit terms and charge interest as permitted by law, in addition to our other rights.

6.4Bank charges in the Customer's country, and any charges for letters of credit requested by the Customer, are paid by the Customer unless agreed otherwise.

07

Delivery, risk and ownership

DispatchReceive

7.1Delivery is made on the Incoterm stated in the Quotation or Order. If none is stated, delivery is ex-works at the dispatch location we specify.

7.2Delivery dates are estimates. We will keep the Customer informed of delays, but we are not liable for delay caused by Manufacturers, transporters, ports, customs or events outside our control.

7.3Risk of loss or damage passes to the Customer as set out in the agreed Incoterm.

7.4Ownership of the Products passes to the Customer only when we have received payment in full.

7.5Quantities may vary within normal trade tolerances for the packing used. We may deliver in instalments and invoice each separately.

08

Inspection, quality claims and returns

Receive

8.1The Customer must inspect the Products on arrival. Visible damage, shortage or leakage must be noted on the delivery documents and reported to us in writing within 48 hours.

8.2Quality claims must be made in writing within 7 days of receipt, quoting the batch number and enclosing the Customer's test results. The Products must not be used, processed or mixed until the claim is resolved.

8.3Claims will be assessed by comparing the Customer's results with the COA and, where needed, by testing a retained sample at a mutually agreed laboratory.

8.4If a claim is accepted, we will at our option replace the Products, issue a credit note or refund the price paid for the affected quantity. No Products may be returned without our prior written approval.

09

Regulated and hazardous chemicals

OrderDispatch

9.1Some Products, such as thionyl chloride, are controlled under the Chemical Weapons Convention or other laws. Before supply, the Customer may be required to give an end-use declaration and other information.

9.2The Customer confirms that it will use the Products only for lawful purposes, will not divert them for prohibited uses, and will comply with all applicable laws, licences and export or import controls.

9.3Hazardous Products are packed, labelled and transported under applicable dangerous-goods rules. The Customer must store, handle and dispose of them safely in line with the Safety Data Sheet (SDS).

9.4We may refuse, delay or cancel any supply if we reasonably believe it may breach the law or if required documents are not provided.

Read the SDS before handling. Several of our reagents are corrosive, toxic or water-reactive. Training, protective equipment and proper storage are the Customer's responsibility once the Products are delivered.
10

Documents and certificates

DispatchReceive

10.1Each supply is accompanied by the Manufacturer's batch COA and an SDS. Other documents – such as specifications, methods of analysis, GMP or ISO certificates, TSE/BSE, Halal or Kosher statements, or DMF/CEP details – are provided where available and agreed.

10.2Certificates and statements are issued by the Manufacturer or relevant certifying body. We pass them on in good faith but do not issue them ourselves.

10.3The Customer is responsible for its own regulatory filings, vendor qualification and incoming quality testing.

10.4Documents we share must be used only for evaluating, buying and using the Products, and must not be published.

11

Indenting and agency supplies

Order

11.1Where we act as an indenting agent, the Products may be invoiced and shipped directly by the Manufacturer to the Customer, and the contract of sale may be between the Customer and the Manufacturer.

11.2In that case we coordinate the order, documents and communication, but the Manufacturer's terms of sale also apply. We will make clear in the Quotation when a supply is on an indent basis. See our indenting agent page.

12

Limitation of liability

After sale

12.1We are not liable for any indirect or consequential loss, including loss of profit, production, business, contracts or goodwill, however it arises.

12.2Our total liability in connection with any Order is limited to the price paid for the Products to which the claim relates.

12.3We are not responsible for loss caused by improper storage, handling or use of the Products, or by using them outside their Specification or intended application.

12.4Nothing in these Terms limits liability that cannot be limited under applicable law.

13

Force majeure

DispatchAfter sale

13.1Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, such as natural disasters, epidemics, fire, flood, war, strikes, government action, shortage of raw materials, plant breakdown at the Manufacturer, or disruption of transport, ports or customs. Payment obligations for Products already delivered are not suspended. If the event continues for more than 60 days, either party may cancel the affected part of the Order by written notice.
